Atlas UP Terms of Use

Welcome to Atlas UP. These Terms of Use govern your access and use of Atlas UP’s websites, applications, and AI-powered business solutions (referred to as "Sites" or "Products"). By using Atlas UP, you agree to these Terms. If you do not agree, you must discontinue use.

1. License

Atlas UP products are licensed on a per-user basis. Each user must have an individual license. Licenses are assigned to “Authorized Users” via enterprise account login. Subject to these Terms, each Authorized User receives a non-exclusive, non-transferable, limited license to access and use our Products.

2. Privacy Policy

By agreeing to these Terms, you also agree to Atlas UP’s Privacy Policy, which outlines how we handle user data and privacy protection.

3. Who Can Use Atlas UP?

Users may not access Atlas UP if they are:

  • Minors under age 13.
  • Prohibited by law from using such services.
  • A competitor of Atlas UP or affiliated with a competitor, without written permission.
  • Using mechanical, programmatic, robotic, or automated means to access the system.

4. Subscription, Rates, Fees, and Payment

  • Enterprise Agreements: Payment terms for enterprise customers are governed by their Master Services Agreement.
  • Monthly Subscriptions: Automatically renew unless canceled 30 days before the renewal date.
  • Annual Subscriptions: Must be paid upfront and are non-refundable.
  • Payment Processor: All payments are processed securely through Stripe.

5. Number of Users

Atlas UP licenses are granted per Authorized User. Access codes and passwords may not be shared among users.

6. Taxes

Users are responsible for applicable sales, use, or duty taxes. Tax-exempt users must provide appropriate certification.

7. User Content

  • Users retain ownership of the content they submit.
  • Users grant Atlas UP a non-exclusive, worldwide license to use submitted content for improving AI models and providing services.
  • Content that is illegal, infringes upon copyrights, or is offensive may be removed.

8. Third-Party Content

Atlas UP may contain links to third-party websites. We do not control these third-party sites and are not responsible for their content or privacy practices.

9. Prohibited Acts

  • Reselling or exploiting Atlas UP products.
  • Interfering with site security or tampering with software.
  • Using Atlas UP to infringe intellectual property rights.
  • Uploading harmful software or malware.
  • Engaging in fraudulent or unlawful activity.

10. Copyright and Intellectual Property

Atlas UP retains all intellectual property rights in its software and products. Users are prohibited from copying or modifying proprietary content without permission.

11. Account Management

  • Users must maintain secure passwords and notify Atlas UP of unauthorized access.
  • Accounts may not be shared among multiple users.
  • Users must ensure their registration data remains accurate.

12. Cancellation and Termination

Atlas UP reserves the right to terminate user accounts for inactivity or misuse. Additionally, accounts may be suspended due to security concerns, fraud, or legal obligations.

13. Disclaimer of Warranties

Atlas UP is provided “as is” without warranties. We disclaim all liability for damages resulting from system use, except as required by law.

14. Copyright Infringement

Atlas UP respects intellectual property rights. Copyright complaints can be directed to copyrightagent@atlasup.com.

15. Changes and Updates

Atlas UP reserves the right to modify its products and Terms of Use at any time. Continued use after modifications constitutes acceptance of the new terms.

16. Maintenance

We may temporarily suspend access to Atlas UP for maintenance or updates. Users will be notified when possible.

17. Dispute Resolution

Disputes arising from these Terms will be resolved through arbitration in Fairfax, Virginia. Users waive their right to class action lawsuits and jury trials.

18. Choice of Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia. Legal proceedings must be filed in Fairfax, Virginia.

19. California Users

California residents may contact the California Department of Consumer Affairs for complaint resolution.

20. Miscellaneous

  • Entire Agreement: These Terms constitute the full agreement between users and Atlas UP.
  • No Assignment: User rights may not be transferred without Atlas UP’s consent.
  • Indemnification: Users agree to indemnify Atlas UP against legal claims arising from misuse.
